By-Laws
ARTICLE 1.0 | General Regulations
1.1 The Society will attempt to foster amiable programs for disseminating scientific knowledge on composite materials within the scientific and engineering community through conferences, symposia, and workshops.
1.2 The Society will remain a secular and nonsectarian organization.
ARTICLE 2.0 | Duties of the Officers and Executive Committee
2.1 President exercises general care and supervision over the affairs of the Society subject to the direction and approval of the Executive Committee and (b) presides at Society meetings.
2.2 Vice President-(a) exercises general care and supervision over the affairs of the Society subject to the direction and approval of the Executive Committee, (b) performs other duties as assigned by the President or the Executive Committee, and (c) chairs the Awards Committee as described in Article 5.2 of the By-Laws.
2.3 Recording Secretary keeps the records of the Society, including minutes of all meetings, appointments, and committees; (b) is responsible for the official correspondence of the Society, except that involving membership applications; (c) prepares an annual report of Society activities in accordance with Article 7.0 of the Constitution; and (d) is responsible for printing, distribution, and collecting letter ballots presented to the membership for vote. (In particular, the Recording Secretary is charged with issuing and receiving the ballots for the membership vote on officers, as defined in Article 5.0 of the Constitution. and with issuing and tabulating ballots proposed amendments to the Constitution and By-Laws. as specified in Article 11.0 of the Constitution and Article 9.0 of the By-Laws.
2.4 Membership Secretary-(a) serves as Chairperson of the Membership Committee, as described in Article 5.1 of the By-Laws; (b) keeps the membership files of the Society and ensures that the mail list is updated; (c) distributes the member packet; (d) notifies all membership applicants as to the acceptance or non-acceptance of their applications; and (e) reports the number of active members in the Society at the Annual Meeting in accordance with Article 7.0 of the Constitution.
2.5 Treasurer-(a) accounts for all Society funds: (b) serves as the disbursing officer of the Society; (c) approves all expenditures upon authorization of the Executive Committee; and (d) prepares an annual report on the state of the Society finances in accordance with Article 7.0 of the Constitution. The Treasurer may be required to give bond.
2.6 Editor-is responsible to the Executive Committee for carrying out the Society's publication policy.
2.7 Executive Committee-is empowered to make working rules of order for the control and operation of the Society. All rules and regulations will terminate with the expiration of tenure of office of the officers promulgating them. unless continued by the succeeding Executive Committee. If an elected official dies or resigns before the completion of his or her term of office, the Executive Committee will appoint a successor to complete the unexpired term, subject to the provision in Article 2.2 of the By-Laws stipulating that the Vice President will succeed if the office of the President becomes vacant. The Executive Committee will have the power to overrule or modify the action of any officer of the Society.
ARTICLE 3.0 | Membership Fees and Benefits
3.1 Regular members of the Society will pay annual dues in advance. Individuals representing corporate memberships will not be required to pay dues (their dues being part of the corporate membership). The amount of annual dues for both individual and corporate memberships will be determined by the Executive Committee. Each member will receive the official publications of the Society and will be offered reduced registration fees at Society-sponsored conferences, symposia, and workshops.
3.2 Accepted applications for membership in the Society received before June 30 will be applied to the current year, and back numbers of the current volume of the Society publications will be furnished to said members. Applications accepted for membership after June 30 will be applied to the following year, and publications will start with the first issue of the following year unless applicants specifically request the application to be applied to the current year.
3.3 Members delinquent in dues three months after the official date of renewal will be declared suspended and their names removed from the official roster of the Society. Suspended or resigned members may be reinstated upon payment of dues for the current year by action of the Membership Committee.
3.4 Fellows of the society are exempt from annual dues. However, membership dues may still be collected as part of conference registration. Fellows remain on the official roster of the society during the remainder of their lifetime. (Approved by the membership on November 22, 2002.)
ARTICLE 4.0 | Quorum
A quorum of the Society is the number present at any regularly scheduled business session of The Society. A quorum of any committee, including the Executive Committee. is a majority of that committee.
ARTICLE 5.0 | Committees
5.1 Membership Committee a standing committee chaired by the Membership Secretary, who will appoint at least two additional members to this committee. The Membership Secretary will receive and pass upon all applications for membership with the advice of the Membership Committee.
5.2 Awards Committee-a standing committee chaired by the Vice President, who will appoint at least two additional members to this committee. The Awards Committee is responsible for establishing and choosing recipients of all awards presented by the Society, including Fellow of the Society as provided for in Article 3.0 of the Constitution. All awards are subject to approval by the Executive Committee.
5.3 Nominating Committee-appointed bi-annually and functioning in accordance with the provisions of Article 5.0 of the Constitution.
5.4 Election Committee-appointed by the President during election years and responsible for opening and counting ballots and reporting election results.
ARTICLE 6.0 | Representatives
6.1 The President will act as, or appoint, an official representative of the Society to attend meetings, inaugurations, and dedications. Upon recommendation of the President, the Executive Committee will determine the expense allowance of official representatives.
6.2 The President or appointed delegate will represent the Society on committees dealing with matters of common interest to this and other societies.
ARTICLE 7.0 | Publications
7.1 The Editor or a designated Assistant Editor will assist authors of papers presented at the Annual Meeting in obtaining publications of their papers in appropriate journals. The Society will publish or choose publications that officially contain news of the Society and other matters of interest relating to the science and technology of composite materials.
7.2 The Editor has the authority to appoint assisting, contributing, and publishing editors to develop different aspects of the publications of the Society.
ARTICLE 8.0 | Society Headquarters
The Society headquarters will be located in the Dayton, Ohio, area.
ARTICLE 9.0 | Amendments
The By-Laws may be amended according to the following procedure:
9.1 The Executive Committee proposes the amendment to the membership.
9.2 A letter ballot is sent to the membership by the Recording Secretary.
9.3 The amendment is approved by a majority of those voting.
9.4 Approved amendments become effective immediately on certification of approval by the Recording Secretary to the Executive Committee and the members.
9.5 All future revisions of the By-Laws shall be done by amendment rather than by revising the wording in the original document. Such amendments shall be numbered and dated according to the date of approval by the membership, and shall appear in chronological order following the original document.
